1. Acceptance of Terms

By accessing, browsing, or using any services provided by Sytale (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of our Services.

Language Precedence: These Terms are originally drafted in English. In the event of any discrepancy between the English version and any translation, the English version shall prevail and govern.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of the Services after modifications constitutes acceptance of the updated Terms.

2. Services Description

Sytale provides professional website development, maintenance, and email management services specifically designed for small businesses and organizations.

2.1 Website Development Services

Our trust-first approach includes creating an initial 80% complete website draft at no upfront cost. Payment is only required after you review and approve the design. Our website services include:

  • Initial website draft creation (80% complete, no upfront payment required)
  • Custom website design tailored to your business
  • Website development using modern frameworks (Astro, React)
  • Website hosting via Cloudflare's enterprise infrastructure
  • Domain registration and management assistance
  • SSL certificate setup and maintenance
  • Professional email setup assistance (via Zoho Mail or similar providers)
  • Monthly maintenance hours (varies by plan: Basic 1h, Standard 3h, Professional 5h)
  • Content updates and text modifications
  • Media and image management
  • Technical support and troubleshooting
  • Contact form integration via Web3Forms
  • Optional: Custom widgets, booking systems, intelligent chatbots (additional fees apply)
  • Optional: Multi-language AI translation services

We specialize in informational and service-based websites. E-commerce functionality is not currently offered.

2.2 Email Management Services

Our professional email support services help small businesses manage customer communications efficiently. Services include:

  • Essential Plan ($199.99/month):
    • Management of up to 300 messages per month (spam excluded)
    • Inbox filtering and spam removal
    • Responses to common customer questions
    • Lead and urgent message forwarding to your team
    • Same-day responses on business days (Monday-Friday, North American business hours)
    • Monthly insights reports
    • Urgent message highlighting
  • Premium Plan ($349.99/month):
    • All Essential Plan features
    • Management of up to 300 messages per month (spam excluded)
    • Responses to more complex client questions
    • Calendar and appointment scheduling
    • Proactive client follow-ups and re-engagement
    • Customer re-engagement email campaigns
    • Response playbook for common FAQs
    • Sales support (requires client-provided sales playbook)

Overage Charges: Essential Plan: $1/message over limit; Premium Plan: $1.75/message over limit. We contact you at 80% capacity (240 messages) for approval before any overage charges are applied. No overages are billed without your explicit written consent.

Service Limitations: Email support operates during North American business days only (Monday-Friday, excluding holidays). After-hours emails are processed the next business day. Response times may vary based on email volume and complexity.

3. User Accounts and Responsibilities

To access certain features of our Services, you may be required to create an account. You are solely responsible for:

  • Maintaining the confidentiality and security of your account credentials
  • All activities and transactions that occur under your account
  • Providing accurate, current, and complete information
  • Promptly updating your account information when changes occur
  • Immediately notifying us of any unauthorized access or security breach
  • Complying with all applicable laws and regulations in your use of our Services

You may not: (a) share your account credentials with any third party; (b) use another user's account; (c) impersonate any person or entity; (d) use the Services for any illegal or unauthorized purpose; (e) violate any laws in your jurisdiction; (f) transmit viruses, malware, or harmful code; (g) attempt to gain unauthorized access to our systems.

We reserve the right to suspend or terminate your account immediately, without notice, for any violation of these Terms or for any conduct we deem harmful to our business, reputation, or other users.

4. Payment Terms and Billing

4.1 Website Development Payment

Our trust-first model requires zero upfront payment. We create an 80% complete website draft for your review at no cost. Payment is only processed after you:

  • Review and approve the website draft
  • Provide explicit written confirmation to proceed
  • Select your subscription plan (Basic, Standard, or Professional)

If you are not satisfied with the draft, you may decline at no cost. No payment obligation exists until you approve the design and authorize us to proceed with full development.

4.2 Subscription Services

All subscription services (website hosting, maintenance, email management) are billed according to your selected billing cycle:

  • Monthly Billing: Charged on the same day each month
  • Annual Billing: Charged yearly with 20% discount applied

Payments are processed via Stripe. You authorize us to charge your designated payment method for all fees incurred. If payment fails, we will attempt to contact you and may suspend Services until payment is received.

4.3 Pricing and Fee Changes

We reserve the right to modify our pricing at any time. For existing subscribers:

  • We will provide at least 30 days' advance written notice of any price increases
  • Price changes do not apply to your current billing period
  • You may cancel before the price increase takes effect
  • Continued use of Services after the notice period constitutes acceptance of new pricing

4.4 Additional Fees

The following additional fees may apply:

  • Domain registration: typically $20-30/year (non-refundable, paid to registrar)
  • Additional maintenance hours: $50/hour beyond included monthly hours
  • Custom widgets and functionality: quoted separately based on complexity
  • Additional professional email addresses: $5/month per address
  • AI translation services: $10/month per additional language
  • Email service overages: $1/message (Essential) or $1.75/message (Premium) over 300 messages/month

All additional fees require your explicit approval before being charged. Fees are non-refundable except as expressly stated in our Refund Policy.

4.5 Late Payment and Non-Payment

If payment is not received when due, we reserve the right to:

  • Suspend access to your website and email services
  • Charge late fees of 1.5% per month (or maximum allowed by law) on overdue amounts
  • Terminate your account and delete your data after 30 days of non-payment
  • Pursue legal action to collect outstanding amounts, including legal fees and costs

5. Refund and Cancellation Policy

5.1 30-Day Money-Back Guarantee

For subscription services (website hosting and maintenance, email management), we offer a 30-day money-back guarantee from the date of your first payment. To request a refund within this period, you must:

  • Submit a written refund request to support@sytale.co
  • Provide specific reasons for dissatisfaction (to help us improve)
  • Allow us 5-7 business days to process your refund

5.2 Non-Refundable Costs

The following costs cannot be refunded as they are paid to third-party providers and are non-recoverable:

  • Domain name registration fees (typically $20-30, varies by domain and registrar)
  • Third-party booking system activation fees
  • Third-party email service setup fees
  • Custom development work completed and delivered to your specifications
  • Third-party software licenses or subscriptions purchased on your behalf

These third-party costs will be clearly disclosed before purchase and require your separate approval.

5.3 Cancellation After 30 Days

After the initial 30-day period, you may cancel your subscription at any time without penalty. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period
  • No refunds will be provided for the remaining days/months of the current billing cycle
  • Auto-renewal will be disabled
  • Your website and email services will cease at the end of the billing period
  • We will provide reasonable assistance (up to 2 hours) for data export and migration

5.4 Service Suspension and Data Retention

Upon service cancellation or termination:

  • Your website will be taken offline within 24 hours after the billing period ends
  • Email services will be discontinued immediately after the billing period ends
  • We retain your data for 30 days after service termination for potential restoration
  • After 30 days, all data is permanently deleted and cannot be recovered
  • You are solely responsible for backing up and exporting your data before cancellation

5.5 Refund Processing

Approved refunds will be processed within 7-10 business days to the original payment method. Refund processing times may vary depending on your financial institution. We are not responsible for delays caused by payment processors or banks.

5.6 Abuse of Refund Policy

We reserve the right to refuse refund requests that we determine, in our sole discretion, are made in bad faith, are abusive, or constitute refund fraud. Examples include:

  • Requesting refunds after extensively using our Services
  • Repeatedly purchasing and requesting refunds
  • Requesting refunds after downloading all website assets and code
  • Making false or fraudulent refund claims

Accounts engaging in refund abuse may be permanently banned from our Services.

6. Third-Party Services and Integrations

Our Services integrate with and rely upon various third-party platforms. By using our Services, you acknowledge and agree that:

  • You are also bound by each third party's terms of service, privacy policies, and acceptable use policies
  • We are not responsible for the availability, performance, or actions of third-party services
  • Service interruptions caused by third-party providers are beyond our control
  • We may substitute alternative providers at our discretion with reasonable notice

6.1 Payment Processing - Stripe

All payments are processed through Stripe, Inc. By making a payment, you agree to Stripe's Terms of Service (https://stripe.com/legal) and Privacy Policy. We do not store complete payment card information on our servers.

6.2 Website Hosting and Infrastructure - Cloudflare

Websites are hosted on Cloudflare's enterprise infrastructure. Services include hosting, CDN, DDoS protection, and SSL certificates. Review Cloudflare's Terms (https://www.cloudflare.com/terms/) and Privacy Policy.

6.3 Domain Registration - Cloudflare

Domain registration and management services are provided through Cloudflare. Domain registrations are subject to ICANN policies and registrar terms. Domain fees are paid directly to the registrar and are non-refundable.

6.4 Professional Email - Zoho Mail

Email setup assistance utilizes Zoho Mail or similar providers. Review Zoho's Terms (https://www.zoho.com/mail/terms.html). Email service availability depends on third-party provider operations.

6.5 Contact Forms - Web3Forms

Contact form functionality uses Web3Forms. Review their Terms (https://web3forms.com/terms). Form submissions are subject to their service limitations and policies.

6.6 Third-Party Liability Disclaimer

WE EXPRESSLY DISCLAIM ALL LIABILITY FOR: (a) any actions, errors, or omissions by third-party service providers; (b) service interruptions or data loss caused by third parties; (c) changes to third-party terms, pricing, or availability; (d) security breaches or privacy violations by third-party providers; (e) any disputes between you and third-party providers.

You agree to hold Sytale harmless from any claims arising from your use of third-party services integrated into our platform.

7. Intellectual Property Rights

7.1 Sytale's Proprietary Rights

All intellectual property rights in the Services, including but not limited to:

  • Source code, scripts, and software
  • Website templates and design frameworks
  • Custom code developed for your website
  • Logos, trademarks, and branding materials belonging to Sytale
  • Documentation, tutorials, and support materials
  • Business processes and methodologies

are owned exclusively by Sytale or our licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Content and Data

You retain all ownership rights to content and data you provide ("Your Content"), including:

  • Text, images, videos, and other media
  • Business information and data
  • Customer data processed through email services
  • Trademarks and branding specific to your business

By using our Services, you grant Sytale a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display Your Content solely for the purposes of:

  • Providing and maintaining your website and email services
  • Creating backups and ensuring data security
  • Improving our Services and developing new features
  • Displaying your website to the public as you intend

This license terminates when you cancel your subscription and request deletion of your data.

7.3 Ownership of Developed Work

Upon full payment, you receive a limited license to use the website we develop for you. However, Sytale retains ownership of:

  • All underlying code, frameworks, and templates
  • Reusable components and functionalities
  • Our proprietary development methodologies

You may not resell, redistribute, or relicense any code or components we provide. Custom features developed exclusively for your website at an additional fee may be transferred to your ownership upon request and payment of applicable fees.

7.4 Restrictions on Use

You agree NOT to:

  • Reverse engineer, decompile, or disassemble any part of our Services
  • Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)
  • Copy, reproduce, or create derivative works from our Services
  • Use our Services to create a competing product or service
  • Attempt to extract source code or underlying technology
  • Use our trademarks or branding without explicit written permission

7.5 Copyright Infringement Claims

We respect intellectual property rights. If you believe content on a website we host infringes your copyright, notify us at support@sytale.co with:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material claimed to be infringing
  • Your contact information
  • A statement of good faith belief that use is not authorized
  • A statement under penalty of perjury that information is accurate
  • Electronic or physical signature of copyright owner or authorized agent

We will investigate and take appropriate action, including content removal if warranted.

8. Warranties and Disclaimers

8.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, title, or non-infringement
  • Warranties that Services will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of content or results
  • Warranties that defects will be corrected
  • Warranties regarding third-party services, links, or integrations

We do not warrant that our Services will meet your specific requirements or business needs, that operation will be uninterrupted or error-free, or that all errors will be corrected. You use our Services at your own risk.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SYTALE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS
  • LOSS OF DATA, CONTENT, OR INFORMATION
  • BUSINESS INTERRUPTION OR DOWNTIME
  • COST OF SUBSTITUTE SERVICES OR PROCUREMENT
  • PERSONAL INJURY OR PROPERTY DAMAGE
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
  • STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES
  • ANY OTHER MATTER RELATING TO THE SERVICES

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SYTALE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT PAID BY YOU TO SYTALE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED DOLLARS ($100 CAD).

This limitation applies regardless of the number of claims or causes of action. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

8.4 Indemnification

You agree to indemnify, defend, and hold harmless Sytale, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our Services
  • Your violation of these Terms or any applicable law
  • Your violation of any rights of another person or entity
  • Your Content or any content you provide
  • Any fraudulent, negligent, or wrongful conduct by you
  • Your breach of any representation or warranty in these Terms

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with us in asserting any available defenses.

8.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, telecommunications failures, internet failures, or failures of third-party service providers.

9. Termination and Suspension

9.1 Termination by You

You may terminate your subscription at any time by:

  • Providing written notice to support@sytale.co
  • Cancelling through your account dashboard (if available)

Upon termination by you:

  • Services continue until the end of your current billing period
  • No refunds for unused time in the current billing cycle
  • Data is retained for 30 days, then permanently deleted
  • You are responsible for backing up and exporting your data before termination

9.2 Termination by Sytale

We reserve the right to suspend or terminate your account and access to Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms or violation of our policies
  • Non-payment or late payment of fees
  • Fraudulent, abusive, or illegal use of Services
  • Conduct harmful to Sytale, our reputation, or other users
  • Excessive use of support resources
  • At our discretion if we cease offering Services

9.3 Effects of Termination

Upon termination for any reason:

  • All rights granted to you under these Terms immediately cease
  • You must immediately cease all use of the Services
  • All outstanding fees and charges become immediately due and payable
  • Your website will be taken offline within 24-48 hours
  • Email forwarding and management services cease immediately
  • We may, but are not obligated to, provide limited data export assistance (maximum 2 hours)
  • After 30 days, all your data is permanently and irretrievably deleted

9.4 Survival

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and governing law provisions.

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the federal laws of Canada and the laws of the Province of Quebec, without regard to conflict of law principles.

10.2 Jurisdiction and Venue

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Montreal, Quebec, Canada. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

10.3 Informal Dispute Resolution

Before filing a formal legal claim, you agree to first contact us at support@sytale.co to seek an informal resolution. We commit to working in good faith to resolve disputes amicably. Most disputes can be resolved through customer service.

10.4 Time Limitation on Claims

You agree that any claim or cause of action arising out of these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or else it shall be permanently barred, notwithstanding any statute of limitations or other law to the contrary.

10.5 Waiver of Class Actions

TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN A PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE PLAINTIFF, OR SIMILAR PROCEEDING. YOU AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND SYTALE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us, constitute the entire agreement between you and Sytale concerning the Services and supersede all prior agreements, understandings, or communications.

11.2 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent website notice at least 15 days before taking effect. Your continued use of Services after changes become effective constitutes acceptance of the modified Terms. If you disagree with changes, your sole remedy is to cancel your subscription.

11.3 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law, without restriction.

11.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

11.5 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

11.6 Independent Contractors

The relationship between you and Sytale is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the parties.

11.7 Language

These Terms are drafted in English. Any translation provided is for convenience only. In case of any conflict or inconsistency between the English version and any translation, the English version shall prevail and control.

11.8 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Services.

11.9 Government Use

If you are a government entity, you acknowledge that our Services are "commercial items" as defined by applicable procurement regulations, consisting of "commercial computer software" and "commercial computer software documentation."
