OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT PAID BY YOU TO SYTALE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED DOLLARS ($100 CAD).
This limitation applies regardless of the number of claims or causes of action. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree that any claim or cause of action arising out of these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or else it shall be permanently barred, notwithstanding any statute of limitations or other law to the contrary.
TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN A PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE PLAINTIFF, OR SIMILAR PROCEEDING. YOU AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND SYTALE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us, constitute the entire agreement between you and Sytale concerning the Services and supersede all prior agreements, understandings, or communications.
We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent website notice at least 15 days before taking effect. Your continued use of Services after changes become effective constitutes acceptance of the modified Terms. If you disagree with changes, your sole remedy is to cancel your subscription.
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law, without restriction.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
The relationship between you and Sytale is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the parties.
These Terms are drafted in English. Any translation provided is for convenience only. In case of any conflict or inconsistency between the English version and any translation, the English version shall prevail and control.
You agree to comply with all applicable export and import control laws and regulations in your use of the Services.
If you are a government entity, you acknowledge that our Services are "commercial items" as defined by applicable procurement regulations, consisting of "commercial computer software" and "commercial computer software documentation."
